01Agreement

These Terms form a binding agreement between you and ApexCore Technology Services INC ("ApexCore", "we", "us"). If you are using the site or engaging us on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree to these Terms, do not use the website or engage our services.

02Use of the Website

You may use our website to learn about our services, read content we publish, contact us, and apply for open roles. You agree not to:

• Use the site for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorised access to any part of the site, our systems, or related networks.
• Probe, scan, or test the vulnerability of the site, except via our published responsible disclosure process.
• Interfere with, disrupt, or place an unreasonable load on the site or its infrastructure.
• Use automated tools (scrapers, bots, crawlers) to extract content at a rate or scale that disrupts service or violates our robots.txt.
• Submit false, misleading, or fraudulent information through any form on the site.
• Reproduce, republish, distribute, or create derivative works from our content without our written permission.

03Services & Engagements

Our consulting services are provided under a separate signed Master Services Agreement ("MSA") and one or more Statements of Work ("SOWs") that describe scope, deliverables, timeline, and fees. Nothing on this website constitutes an offer or commitment to provide services.

We provide professional services. We do not guarantee any specific business outcome. Outcomes depend on factors including the quality and timeliness of information you provide, your team's engagement, and external market conditions.

04Fees & Payment

Fees and payment terms are set out in each SOW. Unless agreed otherwise:

• Invoices are issued monthly in arrears.
• Payment is due within 30 days of invoice date.
• Late payments accrue interest at 1.5% per month (or the maximum rate permitted by law).
• Reasonable, pre-approved expenses (travel, third-party tools) are billed at cost.
• All fees are exclusive of taxes; you are responsible for applicable taxes other than those on our income.

05Intellectual Property

Our materials

All content on this website — text, graphics, logos, design, code, and the ApexCore name and marks — is owned by ApexCore or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, revocable licence to access and view the site for your own personal or business reference.

Engagement deliverables

Ownership of deliverables produced under an engagement is set out in the applicable MSA / SOW. Typically, on full payment, you receive ownership of bespoke deliverables we create specifically for you, while we retain ownership of pre-existing methodologies, tools, frameworks, and reusable components.

06Confidentiality

We treat information you share with us in connection with a prospective or actual engagement as confidential. We will use confidential information only to evaluate or perform the engagement, will limit access to people who need to know, and will protect it with at least the same care we use for our own confidential information. Confidentiality obligations survive for five years after the engagement ends.

07Warranties & Disclaimers

The website is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the site will be uninterrupted, error-free, or free of viruses or harmful components. You access and use the site at your own risk.

08Limitation of Liability

To the maximum extent permitted by law, ApexCore will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the website, regardless of the legal theory.

Our total aggregate liability arising out of or related to your use of the website will not exceed one hundred US dollars (USD 100) or the amount you paid us in the 12 months immediately preceding the event giving rise to the claim, whichever is greater.

For paid consulting engagements, the limitation of liability stated in the applicable MSA / SOW applies and prevails over this section.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

09Indemnification

You agree to defend, indemnify, and hold harmless ApexCore and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms; (b) your violation of any law or third-party right; or (c) any content you submit through the website.

10Termination

We may suspend or terminate your access to the site at any time, with or without notice, for any reason — including if we believe you have violated these Terms. On termination, sections that by their nature should survive (such as Intellectual Property, Confidentiality, Warranties & Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

11Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the website, and you consent to the personal jurisdiction of those courts.

Notwithstanding the above, we may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

12Changes & Contact

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the site after we post changes means you accept the updated Terms.
